Proposed by-laws for WWRHAH, for 2013-2014

We’ve reached the point where this would be a good idea. This is a very typical set of by-laws, and is de facto the one that is in use by the North Delridge Neighborhood Council.

We would vote to adopt these in August 2013, and they would last for two years unless we vote to modify them earlier for some needed reason. These by-laws would be for 2013-2014.

Bylaws for the Westwood / Roxhill / Arbor Heights Community Council

Article I: Name

The name of the organization shall be the Westwood / Roxhill / Arbor Heights Community Council and shall be referred to herein as WRAHCC. It is referred sometimes to by the abbreviated version of WWRHAH.

Article II: Purpose

The purpose of the Westwood/Roxhill/Arbor Heights Community Council is to furnish information to the community, create opportunities for people to participate in projects which benefit the community, and provide a community forum to coordinate with the City and other entities.

Article III: Geographical Boundaries

Roxhill/Westwood are 35th Ave on the West, Roxbury Street on the South, Delridge Way on the East and Othello St on the North. Arbor Heights are Roxbury Street to the North, Marine View Drive to the West, 30th Ave SW/Seola Beach Drive to the East and Puget Sound to the South. These boundaries are subject to change, according to the wishes and interpretation of the community, as neighborhood boundaries are arbitrary community inventions, not recognized by any binding legal rules from the City of Seattle as of July 2013.

Article IV: Membership

All persons residing or working within the boundaries are eligible for membership. All members shall have the right to vote, run for office, and receive any rights and privileges granted to other members.

Article V: Meetings

Meetings of the WRAHCC will normally be held the First Tuesday of the month at the Southwest Library from 6:30 – 7:45pm.

Article VI: Parliamentary Authority

The rules contained in the current edition of Robert’s Rules of Order shall govern the WRAHCC in all cases to which they are applicable and in which they are not inconsistent with these By-Laws and any special rules of order the WRAHCC might adopt.

Article VII: Authority/Governing Board

The authority of the WRAHCC stems from the Community and its inherent interest in the quality of life within the neighborhoods.  Since all persons in the neighborhood can participate in the WRAHCC, the associate legitimately represents their interest and can act on their behalf.

The Executive Committee as elected and appointed representatives of the WRAHCC shall have the authority to act on behalf of the WRAHCC in the event an issue cannot be brought before a regularly scheduled meeting of the WRAHCC.  The Chairperson shall report on all actions of the Executive Committee at each meeting.

Article VIII: Officers & Executive Committee

1. Titles and Duties:

a) Chair: The Chairperson will preside at all General Meetings; call regular and special meetings as needed, prepare agendas for such meetings, serve as an ex-officio (non-voting) member of all committees, chair the Executive Committee and report on the actions of the Executive Committee.  The Chair will maintain momentum of programs initiated by the WRAHCC and perform such duties that the WRAHCC assign.

b) Vice Chair: In the absence or inability of the Chairperson to perform their duties as set forth in these By-Laws, the Vice Chair shall assume all duties and privileges of the Chair. The Vice Chair shall serve as a member of the Executive Committee. The Vice Chair will maintain momentum of programs initiated by the WRAHCC and perform such duties that the WRAHCC assign.

c) Secretary: The Secretary shall keep minutes of all General Meetings, notify the membership of the next meeting date, time and location. The Secretary shall maintain a list of active members names, addresses, telephone numbers and email addresses.  The Secretary shall be a member of the Executive Committee.

d) Treasurer: The Treasurer shall be responsible for all monetary matters of the WRAHCC. This officer shall be bonded in an amount to be set by the Executive Committee. The Treasurer shall receive and disburse funds as instructed by the Executive Committee, and report the financial position of the WRAHCC to the Executive Committee at each meeting of the WRAHCC.  The Treasurer shall be a member of the Executive Committee.

2. Recall of an Officer

a) A three-quarters vote of the members at a regularly scheduled meeting can initiate a recall election of any officer.

Article IX: Elections

Elections for all officers shall be held annually.  The term for each officer will be twelve months.  Nominations for officers shall take place in March, Voting in April and taking office in May.  Majority vote shall determine election.  The WRHAHCC shall have the duty to publicize the nominees for office, and the date, time and place of the annual election meeting.

Article X: Committees

Standing committees of the WRAHCC include Infrastructure, Community Outreach and Metro.  Any other Committees shall be formed and voted on by the Executive Committee. All standing Committee Chairpersons shall be members of the Executive Committee

a) Executive Committee includes all elected Officers

b) Infrastructure Committee includes, but is not limited to: Streets, Lighting, Parks

c) Community Outreach Committee includes, but is not limited to: Crime, Volunteering,

d) Metro Committee includes any and all matters in regards to Metro King County Transit

Article XI: Finances

a) The Chairperson may authorize expenditures of up to $100.  The Chairperson shall report all such expenditures at the next WRAHCC meeting.

b) The WRAHCC must approve all expenditures in excess of $100.

c) Expenditures shall have receipts detailing the amount, items and use of expenditures.

Article XII: Indemnification

Executive Officers and Committee Chairs shall be indemnified for actions taken in good faith consistent with the bylaws.

Article XIII: Amendment of By-Laws

a) These By-Laws shall become effective upon the date of their approval. The power to amend, alter, or repeal these By-Laws shall be vested in the WRAHCC, and reviews of these By-Laws shall be conducted as necessary.

b) Any proposed amendment to these By-Laws shall be presented at the General Meeting preceding the General Meeting in which the amendment is voted upon, with written notice of the upcoming vote to be included in the minutes of the General Meeting.

c) These By-Laws may be amended by a two-thirds vote of the membership present at the General Meeting in which the amendment is voted upon.

Article XIIII: Nondiscrimination and Affirmative Action

The WRAHCC strives to provide an opportunity for all interested parties to participate in the WRAHCC free from discrimination on the basis of race, color, sex, age, creed, religion, ancestry, national origin, marital status, sexual orientation, political ideology, or the presence of any sensory, mental or physical limitation or handicap. The WRAHCC shall be a non-partisan organization. The WRAHCC encourages participation by all its members.

Article XV: Dissolution

On dissolution, treasury money shall go to the Southwest Library Fund.
